Terms of Service

1. Acceptance of Terms
By accessing or using NPS Bookkeeping(the “Service”), you agree to be bound by these Terms of Service. If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these terms. If you do not agree, you may not use the Service.
2. Description of Service
NPS Bookkeeping is a cloud-based bookkeeping and tax compliance platform that provides AI-powered transaction categorization, IRS Schedule C mapping, Profit and Loss report generation, document management, client portal access, and related tools for tax professionals, bookkeepers, and CPA firms.
3. Account Registration
To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access to your account.
4. Subscription and Billing
The Service is offered on a subscription basis with monthly or annual billing cycles. Subscription fees are charged in advance through Stripe. You may upgrade, downgrade, or cancel your subscription at any time through the Stripe Customer Portal accessible from your account settings. Downgrades and cancellations take effect at the end of the current billing period. Refunds are handled on a case-by-case basis at our discretion.
5. Founding 50 Program
The first fifty paying subscribers are enrolled in the Founding 50 program. Founding 50 members are grandfathered at their initial subscription price for the lifetime of their continuous subscription. This pricing guarantee is void if the subscription is canceled and not reactivated within the billing period.
6. Your Data
You retain ownership of all data you upload to or create within the Service, including financial records, documents, client information, and reports. We do not claim ownership of your data. We use your data solely to provide and improve the Service as described in our Privacy Policy.
7. Financial Data and IRS Compliance
The Service provides tools to assist with bookkeeping and tax preparation. However, NPS Bookkeeping does not provide tax advice, legal advice, or accounting advice. The AI-powered categorization and IRS Schedule C mapping are tools to assist qualified tax professionals, not substitutes for professional judgment. You are solely responsible for the accuracy of tax filings prepared using data from the Service. We do not guarantee compliance with any federal, state, or local tax regulations.
8. Multi-Tenant Architecture
The Service operates a multi-tenant architecture where each firm's data is logically isolated at the database level. We implement Row Level Security policies to prevent cross-tenant data access. While we employ industry-standard security measures, you acknowledge that no cloud-based service can guarantee absolute security.
9. Acceptable Use
You agree not to use the Service to store or transmit content that violates applicable laws, attempt to gain unauthorized access to other tenants' data, interfere with the operation of the Service, reverse-engineer or decompile any part of the Service, use the Service for money laundering or other financial crimes, or upload malicious files or code. We reserve the right to suspend or terminate accounts that violate these terms.
10. AI-Powered Features
The Service uses artificial intelligence for document data extraction and transaction categorization. AI outputs are provided as suggestions and should be reviewed by a qualified professional before use in tax filings or financial reports. AI confidence scores are provided to help you assess reliability. We do not guarantee the accuracy of AI-generated categorizations.
11. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance, system updates, or circumstances beyond our control. We will make reasonable efforts to notify users of planned downtime in advance.
12. Limitation of Liability
To the maximum extent permitted by law, NPS Bookkeeping shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability for any claim arising from the Service shall not exceed the amount you paid for the Service in the twelve months preceding the claim.
13. Indemnification
You agree to indemnify and hold harmless NPS Bookkeeping, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, your violation of these terms, or your violation of any third-party rights.
14. Termination
Either party may terminate this agreement at any time. You may cancel your subscription through your account settings. We may terminate or suspend your access if you violate these terms. Upon termination, your data will be retained for 90 days as described in our Privacy Policy, after which it will be permanently deleted.
15. Changes to Terms
We may modify these Terms of Service at any time. Material changes will be communicated via email or an in-app notification at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance of the updated terms.
16. Governing Law
These terms shall be governed by and construed in accordance with the laws of the State of Alabama, without regard to conflict of law principles. Any disputes arising under these terms shall be resolved in the state or federal courts located in Mobile County, Alabama.
